Terms of Service
These terms govern access to and use of Scoutly Pro. This page is available in English only.
Service
Scoutly Pro is a SaaS platform for Amazon sellers to analyze sourcing opportunities, evaluate ASINs, manage supplier catalog data, monitor watchlists, plan restocks, and create purchase orders.
Plans And Billing
Scoutly Pro is sold as a single plan that includes every feature. It is billed monthly or annually through Stripe and can be managed or cancelled at any time from the billing portal. New subscriptions begin with a free trial; the length of that trial is the one shown at checkout, a payment method is required to start it, and unless the subscription is cancelled before the trial ends it converts automatically to a paid subscription at the price shown. Prices may change, and we will tell subscribers before a change applies to a renewal. Cancelling stops the next charge and keeps access until the end of the period already paid for.
One Subscription, One Selling Business
A subscription covers one workspace, used by one selling business. Everyone who works for that business may use it — partners, employees, a bookkeeper, a virtual assistant — and we do not charge per seat. What a subscription does not cover is a second business: another company, a client you work for, someone splitting the cost with you, or a group buying one subscription between them. If you run several selling businesses and want each of them in Scoutly Pro, each one needs its own subscription. Write to support@scoutlypro.com and we will work out the arrangement.
User Responsibilities
You are responsible for your Amazon seller account, supplier relationships, marketplace compliance, product sourcing decisions, tax obligations, pricing decisions, and inventory purchases. Scoutly Pro provides decision-support tools and does not guarantee profitability or marketplace approval.
Amazon And Third-Party Data
Amazon data availability, permissions, accuracy, and API access may change. Scoutly Pro is not affiliated with or endorsed by Amazon. You must comply with Amazon policies and any applicable marketplace rules.
Acceptable Use
You may not attempt unauthorized access, interfere with or deliberately overload the service, upload unlawful content, or use the platform to violate marketplace, supplier, or legal requirements. You may not resell, sublicense, rent out, or otherwise make Scoutly Pro or its output available to anyone outside your own selling business, whether or not you charge for it.
Your credentials are yours. Do not share a login with someone outside your business, do not pass one around a group, and do not sell access to your workspace. Where account activity indicates that a workspace is being used by more than one business, we may ask you about it and act under Suspension And Termination below.
Fair Use And Automated Access
Product searches are not rationed and no request is refused for volume. Supplier lists are scanned in full at any size; very large scans are simply paced, by milliseconds per request, so that a workspace stays inside the rate limits Amazon applies to your own seller account. What is not permitted is automated or programmatic access: scripting or botting the interface, bypassing pacing, extracting the output in bulk to republish or resell it as a data feed, or running the service on behalf of a volume of other businesses rather than your own. If your use looks automated, or looks like more than one business, we will normally contact you first and try to find an arrangement that works.
Suspension And Termination
We may suspend or terminate a workspace that breaks these terms — a shared or resold account, automated access, an attempt to bypass how the service works, non-payment, or use that puts the service, Amazon, or other sellers at risk. Where the circumstances allow it we will contact you first and give you a chance to put it right; where they do not, such as fraud, abuse, or anything that threatens the platform, the suspension may be immediate. You may close your account at any time from the billing portal. Export your data before you do; if you ask within thirty days of a cancellation or a termination we will make a reasonable effort to provide an export, and retention and deletion after that are handled as described in the Privacy Policy.
Refunds
Subscriptions are billed in advance and are not refundable, in whole or in part, for a billing period that has already started. Cancelling stops the next charge and leaves your access running until the end of that period. A free trial can be cancelled at any time before it ends at no cost; once the first charge is taken, the period it paid for follows the same rule. If we terminate a workspace for a breach of these terms, no refund of the current period is due. None of this affects a refund the law requires us to make, or a billing error on our side, which we will always correct. If you think a charge is wrong, write to support@scoutlypro.com before disputing it and we will look at it.
Your Data And Our Software
Scoutly Pro, its software, and everything we build into it remain ours. Your subscription is a limited, non-exclusive, non-transferable right to use the service for your own selling business for as long as it is paid for. Your data remains yours — supplier lists, purchase orders, and the Amazon data you authorize — and you grant us only the permission needed to host it, process it, and provide the service to you.
Disclaimers
The service is provided as is and as available, without warranties of any kind to the fullest extent permitted by law. Scoutly Pro does not guarantee sales volume, Buy Box ownership, product approval, ungating, profitability, supplier authenticity, or business outcomes, and does not guarantee that the service will be uninterrupted or error free. Always verify important decisions independently.
Limitation Of Liability
Scoutly Pro is decision-support software. The figures it produces — profit, margin, landed cost, fee estimates, reimbursement estimates, restock and purchase suggestions — are calculations based on data you provide and on data supplied by Amazon and other third parties, and they may be incomplete, delayed, or wrong. You are responsible for verifying any figure you rely on before you buy inventory, set a price, or make any other commercial decision.
To the fullest extent permitted by law, Scoutly Pro is not liable for lost profits, lost sales, unsold or written-off inventory, capital committed to a purchase, storage or disposal costs, account suspensions, or any indirect, incidental, special, consequential, or punitive damages, whether or not we were advised that such damages were possible. To the fullest extent permitted by law, our total liability for all claims relating to the service is limited to the amount you paid for Scoutly Pro in the twelve months before the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions or limitations of liability. Where that is the case, these limits apply only as far as the law allows.
Changes To These Terms
We may update these terms as the service changes. When a change materially affects what you are paying for or what you are allowed to do, we will tell subscribers by email before it takes effect, and continuing to use Scoutly Pro after that date means you accept the updated terms. The date at the top of this page always reflects the version in force.
Governing Law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law rules. Any dispute arising from them belongs to the state or federal courts located in Florida, and both sides consent to the jurisdiction of those courts.
